This Non-disclosure Agreement (hereinafter referred to as the "Agreement") is made and entered into on ______________ (the "Effective Date"), by and between _________________ (the "Disclosing Party"), whose principal place of business is located at ____________________________________, and _________________ (the "Receiving Party"), whose principal place of business is located at ____________________________________. Both parties agree as follows:

1. Confidential Information

As used herein, "Confidential Information" shall mean any and all technical and non-technical information provided by the Disclosing Party to the Receiving Party, including but not limited to proprietary information, product designs, methodologies, business processes, and business strategies.

2. Purpose of Disclosure

The Receiving Party undertakes to retain in confidence and to use the Confidential Information only for the purpose of ______________________________________________________________, unless otherwise expressly authorized by the Disclosing Party in writing.

3. Duration of the Agreement

4. Exclusions from Confidential Information

Confidential Information shall not include information which:

  • is disclosed under the order of any court or governmental agency, provided that the Receiving Party provides prompt written notice to the Disclosing Party of such order.

5. Return of Confidential Information

Upon termination of this Agreement, the Receiving Party agrees to return to the Disclosing Party all materials embodying Confidential Information, including any copies and summaries thereof, unless otherwise directed by the Disclosing Party in writing.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Alaska, without reference to its conflicts of law principles.

7. Entire Agreement and Amendment

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof. No amendment or modification of this Agreement shall be valid or binding upon the parties unless made in writing and signed by both parties.
